These Terms and Conditions ("Terms") govern all sales of goods and services by Zubeida Auto Spares Ltd ("we," "us," "our") to any purchaser or user ("you," "your," "Client"). By accessing this Website, you agree to comply with and be bound by these Terms.

1. Scope & Applicability

  • These Terms govern all sales of goods and services by us to you.
  • They supersede all prior communications, proposals and representations (whether oral or written), including any of your terms and conditions. Any variation must be expressly agreed in writing by an authorized director of Zubeida Auto Spares Ltd.

2. Account Creation

To purchase products, you must create an account and provide:

  • Individual or company name
  • Tax ID number (where applicable)
  • Valid email address and phone number
  • Delivery address and contact details

You are responsible for maintaining the confidentiality of your account and password.

3. Orders & Acceptance

  • All orders are subject to acceptance by us in writing. We reserve the right to cancel or refuse any order at our discretion.
  • Technical errors and omissions in pricing, descriptions or specifications do not bind us.
  • Orders are confirmed upon successful payment.

4. Pricing & Payment

  • Invoices are payable in full within 21 working days of the invoice date, unless an alternative term is expressly stated.
  • If payment is not received by the due date, you shall pay interest at 10% per annum on the outstanding balance, calculated daily.
  • We may suspend performance of any services or deliveries without notice if any amount is overdue.

5. Debt Recovery

  • If payment remains outstanding more than 60 days after the due date, we may engage a debt collection agency at your expense.
  • You agree to reimburse all reasonable collection and legal costs incurred by us in recovering any overdue amounts.

6. Taxes & Withholdings

  • All fees are exclusive of VAT, duties, levies or similar taxes.
  • Any withholding tax required by your local jurisdiction must be paid by you directly to the relevant authorities; our invoices remain due in full.

7. Shipping & Delivery

  • Delivery timelines are estimates only.
  • Risk of loss transfers to the buyer upon delivery.

8. Returns & Refunds

  •  Returns are accepted only if:
    • The incorrect item was delivered
    • The part has not been fitted
    • The packaging is undamaged and item is in original condition
    • You have received a Return Material Authorization (RMA) from us
  •  You must notify us in writing within 8 days of delivery to receive an RMA.
  • Returned goods must be unused, in original packaging, and accompanied by the RMA.
  • We reserve the right to charge a restocking fee of up to 25% of the invoice value for unauthorized or non-defective returns.
  • We may request proof of purchase, photographs, or inspect the product before authorizing a return.

9. Warranty Disclaimer

  • Except as expressly stated in writing, all parts are sold as-is without warranties. We disclaim all implied warranties to the fullest extent permitted by law.

10. Claims Procedure

  • You must notify any claim for defective goods or services by recorded delivery to our registered office within eight (8) days of delivery or provision of the services.
  • If you fail to give such notice within the time stipulated, the goods and services shall be deemed to conform to the contract and be irrevocably accepted by you.

11. No Warranties

  • All parts are sold as-is, without any guarantee of merchantability or fitness for a particular purpose, unless explicitly agreed.

12. Advertising Services

  • Third parties may pay to display advertisements on our Website.
  • We reserve the right to approve or reject any advertising request.

13. Limitation of Liability

  •  To the fullest extent permitted by law, our aggregate liability arising under or in connection with these Terms (whether in contract, tort—including negligence—or otherwise) shall not exceed the total amount paid by you under the relevant order.
  •  In no event shall we be liable for any indirect, incidental, special, punitive or consequential damages, including loss of profits, data or goodwill.

14. Force Majeure

  • Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control.

15. Intellectual Property

  • All intellectual property rights in any materials we supply remain our property. You are granted a non-exclusive, non-transferable licence to use them solely for the purpose for which they were provided.

16. Data Protection

  • We process any personal data provided by you in accordance with applicable data protection laws. Please refer to our Privacy Policy for details.

17. Severability & Waiver

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. No waiver by either party of any breach shall constitute a waiver of any subsequent breach.

18. Governing Law & Jurisdiction

  • These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
